EXPLANATORY STATEMENT OF THE DRAFT RESOLUTION
AT THE ANNUAL ORDINARY GENERAL MEETING
FROM JUNE 28, 2024
Explanatory memorandum for the first and second resolution
Each year, within six months of the close of the financial year, the General Meeting must be convened to approve the annual accounts for the past financial year, after having read in particular the management report and the corporate governance of the board of directors and reports from the auditors.
FIRST RESOLUTION
Approval of accounts
The first resolution submits for shareholder approval the annual accounts for the past financial year as presented as well as the operations reflected in these accounts and in the reports of the Board of Directors and the Statutory Auditor. It also submits to shareholders the amount of non-deductible expenses and charges which generated corporate tax.
SECOND RESOLUTION
Allocation of income
The second resolution proposes an allocation of the profit for the past financial year to the “other reserves” account and to the “retained earnings” account.
THIRD RESOLUTION
Regulated agreements
The third resolution concerns the so-called regulated agreements concluded or continued during the past financial year and mentioned in the special report of the auditors.
FOURTH RESOLUTION
Remuneration policy – individual ex-post vote
The fourth resolution concerns the elements of remuneration and benefits of all kinds paid for the financial year ending December 31, 2023 to the Chairman and Chief Executive Officer, Mr. François DUCHAINE.
These elements of remuneration are described in the corporate governance report of the Board of Directors.
FIFTH RESOLUTION
Report on the remuneration of corporate officers – ex-post vote
The fifth resolution concerns the report included in the Board of Directors’ report on corporate governance.
SIXTH AND SEVENTH RESOLUTION
Remuneration policy – ex-ante vote
The sixth and seventh resolution concerns the remuneration policy for corporate officers which is presented in the Board of Directors’ report on corporate governance.
