    • Discharge to directors and statutory auditors;

    • Ratification of the co-optation of two directors;

    • Renewal of the mandate of two directors;

    • Setting attendance fees;

    • Divers questions ;

  • Powers for legal formalities and to those which would be held subsequently on the same agenda if, in the absence of a quorum, the first meeting could not deliberate, sign all attendance sheets, accept the functions of scrutineer or refuse them, take part in all deliberations and all votes on the questions listed on the agenda and those raised by incidents during the session, sign all

minutes and documents, and generally do what is necessary.

REMINDER :

  • Shareholders may attend this General Meeting upon simple proof of their identity, provided either that they are registered in the social registers five (5) days before the Meeting if they hold registered shares, or that they produce a certificate attesting to the deposit of their shares with an approved institution, if they hold bearer shares. If they cannot attend the meeting in person, shareholders can:

  • Either give proxy to another shareholder or their spouse, ascendant or descendant,

Either send a proxy to the Company without indicating a representative.

The signatory is informed, in accordance with the regulations in force, that if this proxy is returned to the Company without indication of proxy, the Chairman of the Meeting will issue in his name a vote in favor of the adoption of the projects resolutions presented or approved by the Board of Directors and a vote against the adoption of all other draft resolutions. To cast any other vote, he must choose a proxy who agrees to vote in the direction indicated by him, which proxy will not have the right to substitute.
