The transaction will be all-stock, at a price of $37.25 per share, valuing the company at $4.7 billion, according to the Boeing press release, which mentions a transaction equivalent to $8.3 billion, including the Spirit debt that the manufacturer is taking over.

In addition, Airbus SE has entered into a binding agreement with Spirit AeroSystems regarding the potential acquisition of major Airbus-related businesses, including the production of A350 fuselage sections in Kinston (North Carolina, USA) and Saint-Nazaire (France), the production of A220 wings and centre fuselage in Belfast (Northern Ireland) and Casablanca (Morocco), as well as the production of A220 pylons in Wichita (Kansas, USA).

The transaction would cover the acquisition of these activities. Airbus will be compensated by a payment of $559 million from Spirit AeroSystems, for a nominal consideration of $1, subject to adjustments, including depending on the final scope of the transaction.

With this agreement, Airbus aims to ensure stability of supply for its commercial aircraft programs through a more sustainable evolution, both operationally and financially, for the various Airbus work packages for which Spirit AeroSystems is currently responsible.
