(AOF) – Orange announces the results of the solicitation of the consent of the holders of the 9% bonds governed by the law of the State of New York, maturing on March 1, 2031 (the “2031 Notes”), which is held on October 10, 2024. At this meeting, the amendment to the Indenture dated March 14, 2001 governing the conditions of the 2031 Notes was approved, as described in Orange’s prior announcement of September 25, 2024.
Orange has launched the consultation of holders to approve the amendment to the Indenture governing the terms of the 2031 Notes aimed at modifying the contractual provision relating to reporting so that it is aligned with the requirements applicable in France to companies whose shares are listed on Euronext Paris.
The consent meeting of the holders of the 2031 Notes, held on October 10, 2024, obtained a quorum and the proposed amendment was adopted by a qualified majority (as defined in the Indenture dated March 14, 2001 governing the terms of the Notes 2031).
It is expected that the amendment to the Indenture dated March 14, 2001 governing the terms of the 2031 Notes will be entered into on October 10, 2024 and payment of the early consent fee to holders who voted in favor of the amendment before the date early voting limit is completed within approximately four business days, as described in the “consent solicitation memorandum”.
The terms of the consent solicitation were set forth in the consent solicitation memorandum and notice of consent meeting and written resolutions, dated September 25, 2024, distributed to registered holders of the 2031 Notes.
