The manufacturer of Rieter’s machinery and textile components will buy the barmag unit of the industrial group Oerlikon for 713 million francs. This operation allows Winterthouroise to strengthen in natural and synthetic fibers.
If certain criteria will be achieved by 2028, other payments will be made in Oerlikon. The operation is funded by a relay loan, which will be refined by a capital increase of 400 million, a private investment of 77 million and a bank credit, detailed on Tuesday in a press release. The transaction must be closed in the last quarter of 2025.
The sale price values the manufacturer of BARMAG textile machines at 850 million francs or 950 million with the additional payment option. Oerlikon will use the amounts collected to repay a debt of 475 million, pay current fees and make any repayments to shareholders.
Shareholders’ support
Peter Spuhler, Rieter’s reference shareholder with a 33%stake, and Martin Haefner, who holds 10%, are committed to supporting the acquisition and will participate in fundraising.
BARMAG, which includes the OERLIKON BARMAG brands, OERLIKON Neumag and Oerlikon NONWOVEN, gave a turnover of 734 million francs in 2024, according to the document. Its main markets are Turkey, India, China and the United States.
At the end of this transfer, Oerlikon will become an actor focused on surface technologies for the automotive, aerospace, energy, luxury, medical, defense and semiconductor industry.
Oerlikon has also confirmed its medium -term financial objectives, still aiming for organic growth of 4% to 5% of turnover at constant exchange rates. The gross operating margin (EBITDA) must exceed 20%.
