(CercleFinance.com) – Vivendi takes note of the summary summons issued to it yesterday by CIAM before the President of the Paris Commercial Court, with a view to a hearing on December 4.
CIAM requests that Vivendi's combined general meeting of December 9 be adjourned until a ruling on two other CIAM actions: an action on the merits, initiated promptly before the Paris Commercial Court, contesting the validity of the proposed demerger; an appeal before the Paris Court of Appeal against the AMF decision of November 13, 2024 having found that the Bolloré group did not meet the conditions for filing a public buyout offer on Vivendi due to this proposed demerger .
'Vivendi observes that CIAM's attempt to prevent Vivendi shareholders from expressing their views on December 9 comes after the two main voting advisory agencies, ISS and Glass Lewis, overwhelmingly followed by shareholders, recommended that they do so. 'approve this project' indicates the group.
'These recommendations, which come from internationally recognized and influential independent institutions, defeat the campaign initiated by CIAM to invite Vivendi shareholders to reject the proposed split on December 9,' adds the management.
Vivendi recalls that the objective of its demerger project is to create value for all of its shareholders by reducing the significant conglomerate discount to which it has been subject for several years, and to accelerate the development of its demerged activities. .
