(CercleFinance.com) – Atos announces that it has received a non-binding offer from the French State for the potential acquisition of 100% of the Advanced Computing activities of its BDS division. This acquisition represents an enterprise value of 500 million euros, which could potentially be increased to 625 million euros including price supplements.
Atos' Advanced Computing activities include the High-Performance Computing (HPC) & Quantum divisions as well as the Business Computing & Artificial intelligence divisions. The activities currently employ around 2,500 employees and generated a turnover of around 570 million euros in 2023.
The offer received from the French State provides for a period of exclusivity until May 31, 2025.
A binding share purchase agreement could be concluded until this date. An initial payment of 150 million euros to be paid to Atos is planned upon signature of the binding share purchase agreement.
Atos would undertake to launch an organized divestment process for its Cybersecurity Products and Mission Critical Systems activities, which generated revenues of approximately €340 million in 2023.
