Pharmaceutical industry: Pharma Capital takes exclusive control of three companies making up the Afric-Phar group

“The Competition Council has received notification of a economic concentration operation concerning taking exclusive control by the company “Pharma Capital SA” of the companies “Afric-Phar SA”, “Pharmis SA” and “Partner Lab SA” through the respective acquisition of 95.35%, 55% and 4% of their share capital and associated voting rights”, we read in the document.

These are three public limited companies under Moroccan law specializing in:

– The production and distribution of pharmaceutical products with regard to “Afric-Phar” et “Pharmis”;

– Pharmaceutical research and development in terms of “Partner Lab”.

“Pharma Capital”, also a limited company under Moroccan law, registered in the Casablanca commercial register under number 625427, is for its part specialized in investment in the pharmaceutical sector.

According to our information, this is the transaction the most important that Morocco and the African continent have never known in the pharmaceutical industry sector. It is also the most important industrial transaction in recent years in the Kingdom.

The three acquired companies make up the group Afric-Phar. “Afric-Phar” and “Pharmis” are two pharmaceutical laboratories, while “Partner Lab” is a research and development company. Pharma Capital, for its part, belongs to the Sefrioui group.

The acquisition of Afric-Phar by Pharma Capital will be accompanied by Emerge Invest, add our sources, the investment bank created by Raymond Farhat. This has already supported the Sefrioui group in all stages of the transaction (origination, due diligence and negotiations), and will continue to coordinate the process with a view to closing this historic transaction.

In 2023, the Afric-Phar group, active in numerous therapeutic areas such as cardiology, intensive care anesthesia and the central nervous system, achieved a turnover totaling 784 million of DH. It employs nearly 400 people.
